Collin County Texas Association of Neonatal Nurses
CCTANN By Laws

Article I
Name
The name of this organization shall be the Collin County Texas Association of Neonatal Nurses (CCTANN).

Article II
MISSION
The Mission of the CCTANN shall be to act as the educational resource for neonatal nurses while promoting the highest standards of neonatal nursing practice.

Article III
PURPOSE

The goals of the CCTANN shall be to:
1.     Facilitate an exchange of information among the neonatal community.
2.     Provide a forum for continuing education.
3.     To establish a communication network among neonatal nurses.

Article IV
OFFICERS

Section I.  The officers of the CCTANN shall consist of a President, President-Elect, Secretary and Treasurer.  Collectively these officers are referred to as the Executive Board
Section II.  An officer candidate must be a CCTANN member for no less than 12 months prior to running for office.
Section III.  The officers shall be elected by a two thirds majority of all members present at the late fall business meeting if there is more than one nominee for a position.
1.  The President-Elect will succeed the current President for a term of two years. 
2.  A new President Elect will be elected for a term of two years
3.  The Secretary and Treasurer will be elected for a term of two years. 
4.  All officers shall take office January 1st immediately following their election.


The duties of the officers are as follows:
1.  The president shall preside at any official meeting of the CCTANN and coordinate the work of the officers and committees to ensure that the objectives and policies of the CCTANN are maintained and promoted.
2.  In the absence of a President-Elect, an officer or a board member shall preside at meetings in the absence of the President and coordinate the educational activities of the CCTANN
3.  The Secretary shall record the minutes of business meetings, conduct official correspondence of the CCTANN, and be responsible for keeping bylaws.
4.  The Treasurer shall collect and disburse CCTANN funds.  The Treasurer will work with the Membership committee in maintaining membership records, and will present a statement of financial condition at each board meeting.
5. In the absence of the President and a President-Elect, an officer or a board member will serve as a member of the finance committee.

Section IV.  Executive Committee meetings shall be held at least quarterly.  The President shall arrange the meeting time and place.

Section V.  In the event of a resignation or vacancy of an office, the President may appoint a qualified member to assume responsibilities of the office in an acting capacity for the remainder of the calendar year.

Section VI.  The President will not participate in the annual election of officers so that in the event of a tie, the President’s vote can determine the majority. 

Section VII.  The closing date for officer nominations shall be at the business meeting held yearly in late fall.

Article V.
MEMBERSHIP MEETINGS
Section I.  The regular meeting of the CCTANN shall be held at least four times yearly at Texas Health Plano, Texas.

Section II. A quorum shall consist of all active members present at the meeting.

Section III.  Each member present shall be entitled to one vote on matters properly placed before the membership. 

Article VI.
MEMBERSHIP
Section I.  Membership in the CCTANN is a privilege and is contingent upon concurrent membership in the National Association of Neonatal Nurses.
Section II.  Numbers shall not limit the membership of this CCTANN.
Section III.  A person shall be declared a member upon payment of local and national dues.
Section IV.  Dues may not exceed national dues.
Article VII
Amendments to the Bylaws
Section I.  The executive board shall review the bylaws annually (odd years).
Sections II.  The bylaws may be amended at any regular business meeting of the CCTANN by a favorable vote of two thirds of the membership present.
Article VIII
Rules and Parliamentary Authority
The rules contained in the most current edition of Robert’s Rules of Order shall be the parliamentary authority and shall govern this CCTANN.
